1. Agreement to Terms

By accessing or using supagrid ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

These Terms constitute a legally binding agreement between you and supagrid. We may update these Terms from time to time, and your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Description of Service

supagrid is a data analytics platform that provides processing, analytics, and visualisation tools in relation to data from Australia's National Electricity Market (NEM). We do not sell or license raw data from AEMO or other data providers. Your subscription is for access to our platform (the processing, insights, and tools we provide), not for the underlying data itself. Our Service includes the following.

Access to NEM data via our platform, together with our analytics and visualisations
Facility and unit information and metadata (as processed and presented by us)
Benchmarking and performance analysis tools
Interactive maps and data visualisation features
Other features and services as we may add from time to time

3. Account Registration

3.1 Account Requirements

To use certain features of our Service, you must register for an account. You agree to the following.

Provide accurate, current, and complete information during registration
Maintain and update your account information to keep it accurate
Maintain the security of your account credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Subscription and Payment

4.1 Subscription Plans

We offer subscription plans with different features and pricing. We currently bill on a monthly basis; subscription fees are charged in advance for each billing period. Some plans may be offered with a free trial (e.g. a time-limited trial without payment). If you are on a trial, your subscription will begin or your access may change when the trial ends in accordance with the plan terms (for example, you may need to add a payment method to continue).

4.2 Payment Terms

You agree to pay all fees associated with your subscription when due
Fees are non-refundable except as required by law or as we may otherwise agree in writing
We may change our pricing with reasonable notice to you
If payment fails, we may suspend or terminate your access to the Service
You are responsible for any taxes applicable to your subscription

4.3 Cancellation and Plan Changes

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period; you retain access until then. Plan upgrades or downgrades also take effect at the end of your current billing period unless we specify otherwise.

5. Acceptable Use

You agree not to do the following.

Use the Service for any illegal purpose or in violation of any laws
Attempt to gain unauthorized access to the Service or related systems
Interfere with or disrupt the Service or servers connected to the Service
Use automated systems (e.g. bots or scrapers) to access the Service other than through our API in accordance with your plan and our documentation
Reproduce, duplicate, copy, sell, or resell any portion of the Service
Reverse engineer, decompile, or disassemble any part of the Service
Remove or alter any copyright, trademark, or other proprietary notices
Use the Service to transmit any viruses, malware, or harmful code
Impersonate any person or entity or misrepresent your affiliation
Violate the rights of others, including intellectual property rights

6. Intellectual Property

6.1 Our Rights

The Service, including all content, features, functionality, and technology, is owned by supagrid and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

6.2 Your License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes in accordance with your subscription plan.

6.3 Data Sources and What We Provide

Our Service uses data sourced from AEMO (Australian Energy Market Operator) and other providers. We do not sell or resell that underlying data. What we provide is additional processing, analytics, and visualisation of that information (tools and insights not provided by AEMO). The underlying data may be subject to separate terms or licences from the original data providers. Your use of the Service does not grant you any rights in that underlying data beyond what we make available to you through the Service.

7. User Content and Submissions

If you submit content through the Service (for example profile information, feedback, support or sales inquiries, or other communications), you retain ownership of that content. By submitting it, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process it as necessary to provide and improve the Service and to respond to you.

You are responsible for any content you submit and represent that you have the right to do so and to grant us the license described above.

8. Service Availability and Modifications

We strive to provide reliable service but do not guarantee that the Service will be available at all times or free from errors. We reserve the right to do the following.

Modify, suspend, or discontinue any part of the Service at any time
Perform maintenance that may temporarily interrupt service
Update features, functionality, or content
Impose limits on usage or access

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE FOLLOWING.

Warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties regarding the accuracy, reliability, or completeness of data
Warranties that the Service will be uninterrupted, secure, or error-free
Warranties regarding the results obtained from using the Service

Data provided through the Service is for informational purposes only and should not be relied upon as the sole basis for business or investment decisions. You should verify critical information independently.

10. Limitation of Liability

Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, warranties, or rights you have under the Australian Consumer Law or other applicable law that cannot be excluded or limited by agreement.

To the fullest extent permitted by law, in no event shall supagrid, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to the following.

Loss of profits, revenue, data, or business opportunities
Costs of substitute services
Damages resulting from use or inability to use the Service
Damages resulting from errors, omissions, or inaccuracies in data

Subject to the above and to the maximum extent permitted by law, our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless supagrid and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to the following.

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Any content you submit through the Service

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, the following applies.

Your right to use the Service will immediately cease
We may delete your account and data, subject to our data retention policies
All provisions of these Terms that by their nature should survive termination will survive

You may terminate your account at any time by contacting us or using account management features.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Australia. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the State of Queensland, Australia. (If your principal place of use is elsewhere in Australia, you may also have rights in your local jurisdiction.)

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and supagrid regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
